Terms of Service

These Terms of Service ("Terms") govern access to and use of Calmwillowpath's website and the provision of our consulting, discovery, automation, and sustainment services. By visiting our site or engaging our services you accept these Terms.

1. Services and engagement

Calmwillowpath provides advisory and implementation services related to business process optimization. Specific deliverables, timelines, fees, and acceptance criteria are set out in written engagement documents, statements of work, or project agreements. Those documents take precedence over these Terms for the particular engagement described.

2. Client responsibilities

Clients must provide access to relevant people, systems, and information necessary for Calmwillowpath to perform services. Clients are responsible for the accuracy of the data and instructions provided. Delays caused by incomplete information or unavailable personnel may affect timelines and fees.

3. Fees, invoicing, and payment

Fees and payment terms are described in engagement agreements. Unless otherwise stated, invoices are due within 30 days of invoice date. Late payments may accrue interest at the lesser of 1.5% per month or the maximum permitted by law. Calmwillowpath may suspend services for overdue accounts after reasonable notice.

4. Confidentiality

Each party agrees to keep confidential information received from the other party secure and to use it only to perform the engagement. Confidential information excludes data that is public, already lawfully known, or independently developed. Project-specific data handling, retention, and protection measures are set in engagement agreements where applicable. Clients retain ownership of their operational data; Calmwillowpath retains ownership of its methodologies, templates, and tools, subject to license grants in project documents.

5. Data and privacy

Calmwillowpath processes personal data in accordance with our Privacy Policy. For client-supplied operational or telemetry data, processing, storage, and confidentiality are governed by the project agreement. Clients are responsible for ensuring lawful rights to share any personal or operational data they provide.

6. Intellectual property

Except as provided in a written agreement, Calmwillowpath grants clients a non-exclusive license to use deliverables for internal business purposes. Pre-existing intellectual property owned by either party remains that party's property. Where deliverables include third-party components, use will be subject to the applicable third-party license terms.

7. Warranties and disclaimers

Calmwillowpath will perform services with reasonable skill and care. Except as expressly stated, services and deliverables are provided "as is" and Calmwillowpath disclaims all other warranties, whether express or implied, including any warranty of merchantability or fitness for a particular purpose. Clients acknowledge that process improvements and automation depend on multiple variables including data quality and organizational adoption, and results are not guaranteed.

8. Limitation of liability

To the maximum extent permitted by law, Calmwillowpath's liability for any claim arising out of or related to these Terms or services is limited to the fees paid to Calmwillowpath for the specific engagement during the six months preceding the claim. In no event will Calmwillowpath be liable for lost profits, consequential, special, incidental, or punitive damages, even if advised of the possibility of such damages.

9. Termination

Either party may terminate an engagement as provided in the engagement documents. On termination, the client will pay for work performed through the termination date and return or destroy confidential materials as agreed. Termination does not affect accrued rights or obligations that by their nature should survive termination, including confidentiality and limitation of liability provisions.

10. Governing law and disputes

These Terms are governed by the laws of the State of Oregon, USA, without regard to its conflicts of laws rules. Parties will attempt to resolve disputes in good faith through negotiation. If unresolved, disputes may be resolved in state or federal courts located in Multnomah County, Oregon, subject to applicable jurisdictional rules.

11. Changes to terms

Calmwillowpath may update these Terms from time to time. Material changes will be posted on this page with an updated effective date. Continued use of the website or services after posting constitutes acceptance of the updated Terms unless a different agreement is executed between the parties.
